Guidewire has agreed to acquire hyperexponential for a base purchase price of USD $1.7 billion in cash, plus up to USD $400 million in contingent consideration tied to recurring revenue targets.

The deal brings the London-based provider of underwriting and pricing software for commercial property and casualty insurers into Guidewire's business. hyperexponential's software supports underwriting decisions covering more than USD $75 billion in annual commercial P&C premium, according to the companies.

The acquisition is expected to strengthen Guidewire's position in software for P&C insurers and expand its reach in commercial and specialty underwriting. hyperexponential is already a technology alliance partner in Guidewire's PartnerConnect programme.

Guidewire expects the deal to add at least 650 basis points to fiscal 2027 annual recurring revenue growth on an inorganic basis. From fiscal 2028, it expects the acquired business to contribute at least 150 basis points to durable organic annual recurring revenue growth.

The company plans to fund the purchase with USD $1.0 billion in new term loan financing and existing cash. Bank of America and Citibank have provided a binding debt commitment for the loan.

The acquisition is expected to close in the second quarter of Guidewire's fiscal 2027, subject to customary conditions. It will not affect the company's previously issued guidance for the first quarter of fiscal 2027.

Underwriting focus

hyperexponential has built its business around software that helps commercial and specialty insurers with pricing and underwriting decisions. The company has a particularly strong presence in the UK, where it works with commercial and specialty insurers. Its customer list also includes large international insurance groups, reinsurers and managing general agents.

Underwriting speed and accuracy remain important as insurers respond to environmental, market and regulatory pressures, the companies said. They also pointed to industry research suggesting AI tools can reduce time to quote and improve efficiency in complex commercial lines.

A Celent report cited by the companies said AI can help commercial P&C insurers improve underwriting efficiency and reduce loss ratios by drawing on previously unstructured data, including telematics, satellite imagery and loss history.

Guidewire said the combination would support a model in which AI systems work alongside underwriters and actuaries to assess risk and price business. The focus is on commercial and specialty lines, where pricing judgment and portfolio management are central to profitability.

Executive views

Mike Rosenbaum, Chief Executive Officer of Guidewire, said the rationale for the acquisition was the alignment between the two companies' approach to insurance software and artificial intelligence.

"We're delighted to welcome Amrit Santhirasenan and the team at hyperexponential to Guidewire. There isn't another company in the world whose passion for insurance, technical ambition, and vision for the potential of AI in insurance align so closely with our own," said Mike Rosenbaum, Chief Executive Officer of Guidewire.

"Insurance is a distinctly complex industry, where the quality of risk decisions has an immense impact on business outcomes. Guidewire and hyperexponential are uniquely positioned to deliver industry-specific AI solutions that will transform commercial underwriting. Together we will bring greater and more scalable intelligence to insurance decisions that will help underwrite the risks of tomorrow," Rosenbaum said.

Amrit Santhirasenan, Chief Executive Officer and Co-Founder of hyperexponential, said the company was founded on the importance of underwriting judgment in insurance performance.

"We founded hyperexponential on the conviction that underwriting judgment is the highest-leverage work insurers do," said Amrit Santhirasenan, Chief Executive Officer and Co-Founder of hyperexponential.

"Guidewire is the most trusted name in P&C insurance technology, with deep expertise in managing and safeguarding the policy and risk information insurers rely on throughout the insurance lifecycle. Together, we'll bring insight from submission to bind and from the individual risk to the entire portfolio. With hx and Guidewire, insurers will be able to respond to submissions faster and, more importantly, improve loss ratios and allocate capital more effectively," Santhirasenan said.

Guidewire serves more than 570 insurers across 44 countries, while hyperexponential has established itself as a specialist supplier to commercial P&C carriers. The scale of the purchase underlines the value software groups are placing on underwriting tools as insurers seek greater consistency and speed in commercial risk selection and pricing.
